What it does
When a US company raises a private round (seed, Series A and later, SAFEs, convertible notes), it has to file a Form D with the SEC within 15 days of the first sale. That makes Form D one of the earliest public signals that a startup has new money, whether or not the company announces it. The catch is that EDGAR is built for filings, not for lead lists: you get daily indexes and one XML document per filing.
This actor reads the EDGAR daily form indexes and each filing's primary document and returns one row per Form D filing: issuer name, city and state, business address and phone, industry group, entity type, year of incorporation, the exemption claimed (Rule 506(b) or 506(c)), total offering amount, amount sold so far, investor count, date of first sale and the filing link. By default it lists technology and health care raises from the last 7 days, with pooled investment funds and real estate deals left out so you see operating companies rather than hedge funds.
Use it for sales prospecting (newly funded companies buy tools and hire), VC and market research, recruiting leads, or a scheduled 'recently funded' feed into your CRM or an automation tool. It is public SEC data, fetched within the SEC's fair-access limits, and the actor is not affiliated with the SEC.
How it works
- You set a date window (daysBack, or dateFrom and dateTo, up to 366 days per run) and optional filters for industry, state, exemption, amount, issuer name or CIK.
- The actor reads EDGAR's daily form indexes for Form D and D/A filings in that window, applying name, CIK and amendment filters before downloading anything.
- Each remaining filing's XML is fetched at no more than 5 requests per second and parsed for issuer, offering, sales and exemption fields; state, industry, exemption and amount filters are applied here.
- Rows are returned newest filing date first; related persons (officers, directors, promoters) are added only if you switch on includeRelatedPersons, and then without street addresses.
- The run stops at maxResults or your spend limit, and every delivered filing is charged exactly once.

}All input fields
| Field | Type | Required | Default | What it does |
|---|---|---|---|---|
daysBack | integer | no | 7 | Filings from the last N days (filing date, up to today). Ignored when 'Filed from' is set. EDGAR publishes each business day's index at about 10 pm US Eastern, so today's filings appear the next morning. |
dateFrom | string | no | First filing date (YYYY-MM-DD), inclusive. Overrides 'Days back'. Form D XML filings start in 2009. At most 366 days per run. | |
dateTo | string | no | Last filing date (YYYY-MM-DD), inclusive. Defaults to today. | |
includeAmendments | boolean | no | true | Include Form D/A amendments (annual renewals and corrections of earlier notices) as well as new Form D notices. |
keywords | array | no | Only issuers whose name contains any of these words (case-insensitive), e.g. 'Capital', 'Therapeutics', 'AI'. Leave empty for all. | |
ciks | array | no | Only these SEC Central Index Keys (leading zeros optional), e.g. to track specific companies or funds. | |
states | array | no | Issuer business-address state or country: two-letter codes (CA, NY, TX…) or full names (California). Leave empty for all. | |
industries | array | no | ["Technology", "Health Care"] | Form D industry groups, or a whole sector (Technology = Computers + Telecommunications + Other Technology; Health Care; Real Estate; Energy; Banking & Financial Services; Travel). Leave empty for all. |
exemptions | array | no | ["506b", "506c"] | Only filings claiming any of these federal exemptions. 506(c) = general solicitation allowed (verified accredited investors only). |
minOfferingAmount | integer | no | Only offerings of at least this size. Offerings with an 'Indefinite' size (common for funds) always pass. | |
minAmountSold | integer | no | Only filings reporting at least this much already sold, e.g. 1000000 for rounds of $1M+. | |
maxResults | integer | no | 1000 | Stop after this many filings (newest filing dates first). You are charged only for filings delivered. |
includeRelatedPersons | boolean | no | false | Add the executive officers, directors and promoters listed on the filing, plus the signer: name, relationship, city and state only (never street addresses). These are public SEC records but they are personal data … |
Output example
Each row is one Form D filing; a week of tech and health care raises looks like this:

Pricing
Pay per event: you are charged only for the results you receive, with no subscription. Set a maximum total charge on any run and it stops cleanly at the cap.
| Charged for | When | Price | Per 1,000 | Worked example |
|---|---|---|---|---|
| Filing result | Charged per Form D / D/A filing parsed and delivered (all fields included) | $0.01 | $10 | 1,000 filings = $10.00 (about 4 business days of every Form D filed) |
| Actor Start (platform start fee) | Charged when the Actor starts running. Number of events charged depends on Actor memory (one event per GB, minimum one event). | $0.00005 | — | One run at up to 1 GB = $0.00005 (charged as one event) |
Prices are read from the live Apify Store listing when this page is built. The listing is always authoritative.

Sales prospecting on fresh funding
Run it every morning for new Form D notices (includeAmendments off) and push companies that reported $1M or more sold into your CRM. Newly funded companies buy tools and hire, so a fresh round is a good moment to reach out.
Recruiting and talent sourcing
Recently funded startups tend to hire. Filter by state and industry to build a list of companies in your market that just raised, then check their open roles.
VC and market research
Backfill up to a year per run (Form D XML goes back to 2009) to study round sizes, 506(b) versus 506(c) usage or how many biotech raises came out of a given state.
Tracking specific companies or funds
Pass CIKs to follow particular issuers and catch every D/A amendment, which updates the amount sold as a round fills.
How it compares

Commercial funding databases add investor names, valuations and companies that raise outside the US, which Form D will never give you. For a cheap, official, daily list of who just raised money in the US, Form D is hard to beat.
Limits and honest notes
- Source: SEC EDGAR daily form indexes and each filing's primary_doc.xml. EDGAR publishes a business day's index at about 10 pm US Eastern, so filings appear the next morning (not in real time). Weekends and federal holidays have no index.
- Form D XML exists from 2009 onward; dateFrom is clamped to 2009-01-01. At most 366 days per run — split longer backfills into several runs. Results are newest filing date first.
- SEC fair-access rules: requests are paced to 5 per second, so a run takes roughly 1 minute per 250 filings parsed. Filters on issuer name, CIK and amendments are applied before downloading, so they are fastest; state, industry, exemption and amount filters need each filing's XML.
- 'Indefinite' offering amounts (common for funds) are returned as totalOfferingAmount: null with offeringAmountIndefinite: true, and always pass the minimum offering amount filter.
- Amounts are as reported by the issuer, in US dollars. Form D is a notice filed within 15 days of the first sale, not a final close: totalAmountSold is the amount sold so far, and later D/A amendments update it.
- Privacy: related persons (executive officers, directors, promoters) and the signer are public SEC records but personal data, so they are excluded unless includeRelatedPersons is on — and then only name, relationship, city and state, never street addresses. The issuer's business address and phone are always included.
- Respects your run budget: set a maximum total charge and the run stops cleanly at the cap, with every delivered row charged exactly once.
FAQ
What is an SEC Form D filing?
Form D is a notice a company files with the SEC when it sells securities in a private offering under an exemption such as Rule 506(b) or 506(c). It is due within 15 days of the first sale, which is why it works as an early signal of a new funding round.
How fresh is the funding data?
EDGAR publishes each business day's index at about 10 pm US Eastern, so filings appear in the actor's results the next morning. Weekends and federal holidays have no index.
Is totalAmountSold the final size of the round?
Not necessarily. Form D is a notice filed after the first sale, not a final close, so totalAmountSold is the amount sold so far as reported by the issuer. Later D/A amendments update it.
How do I exclude hedge funds and real estate deals?
The default industries (Technology and Health Care) already leave out pooled investment funds and real estate. If you clear the industries filter you will see every Form D, including funds, whose offering size is often reported as indefinite.
Does it include founders' or directors' names?
Only if you turn on includeRelatedPersons, and then just name, relationship, city and state, never street addresses. These are public SEC records but they are personal data, so enable it only with a lawful basis to process them.
How much does it cost?
$0.01 per Form D or D/A filing delivered, so 1,000 filings cost $10.00, which the README puts at about 4 business days of every Form D filed. With the default filters a week of results is much smaller.
